Terms of service
These terms govern your firm’s use of Tenuit. Where your firm has signed an order form or a separate agreement with us, that document comes first and these terms fill in anything it leaves out.
LAST UPDATED · 24 OCTOBER 2026
Who these terms are between
“Tenuit”, “we” and “us” mean Tenuit, LLC, a Delaware limited liability company, which provides the Tenuit service. “Customer” and “your firm” mean the advisory firm that orders the service, and “you” means a person using it on your firm’s behalf. The service is sold to businesses, chiefly investment advisers registered with the SEC or a state, and is not offered to consumers. By accepting an order form, or by using the service, the person doing so confirms they can bind the firm to these terms.
What the service is
Tenuit keeps a record of what your firm knows about each client household: account and holdings data, and the facts that matter to the household, each with its source. From that record Tenuit prepares meeting briefs, follow-ups, draft client messages and other documents for your firm to review. Which features your firm has, and for how many users, is set out in its order form.
We may change or improve the service. We will not materially reduce a feature your firm is paying for during a paid term without telling you first.
Accounts and authorised users
Your firm decides who may use Tenuit and with what role. Each user needs their own sign-in; sign-ins are not to be shared. Your firm is responsible for what its users do in the service, for keeping its user list current, and for removing access when someone leaves. Tell us promptly at hello@tenuit.co if you believe an account has been used without permission.
Your firm’s data
Your firm owns the data it puts into Tenuit or connects to it, including client records, emails, calendar entries, meeting transcripts and documents (“Customer Data”). You give us permission to host, copy, process and display Customer Data only as needed to provide the service to your firm, to support it, and to keep it secure. We process Customer Data on your firm’s instructions and under our data processing agreement with your firm. We do not sell Customer Data, and we do not use it to train AI models.
You are responsible for having the right to give us Customer Data, including any notices or consents your clients are owed, such as consent to record a meeting.
Confidentiality
Each of us will keep the other’s non-public information confidential, use it only for the purpose of this relationship, and share it only with staff and providers who need it and are bound to keep it confidential. This does not cover information that is public through no fault of the receiving party, was already known to it, or is independently developed. Either of us may disclose information where the law requires, giving the other notice where the law allows.
Acceptable use
You agree not to:
- use the service to send unsolicited messages, or to communicate with clients in a way that breaks the securities, privacy or marketing rules that apply to your firm;
- upload anything unlawful, or anything you do not have the right to share;
- try to get around access controls, probe or disrupt the service, or reach data belonging to another customer;
- copy, resell or reverse-engineer the service, or use it to build a competing product;
- use automated means to access the service other than the connections we provide.
We may suspend access that puts the service, other customers or the public at risk. Where we can, we will tell you first and restore access once the problem is fixed.
Connected services and providers
Tenuit works with services your firm already uses, such as Google Workspace and Microsoft 365 for email, calendar and files, CRM and custodian systems, and Slack. When you connect one, you authorise Tenuit to access it on your behalf within the permissions shown at connection. Those services are governed by your own agreements with their providers, and we are not responsible for them. You can disconnect a service at any time from Tenuit’s integrations settings, or from the provider’s own account settings.
To run the service we use providers that process data on our behalf, in categories including cloud hosting, AI model providers (used to read, summarise and draft), speech-to-text transcription, meeting recording, and error monitoring. The current list is the subprocessor register on our security page.
Google user data
Tenuit’s use and transfer of information received from Google APIs to any other app will adhere to the Google API Services User Data Policy, including the Limited Use requirements. In short: we use Google data only to provide and improve the features you can see in Tenuit, we do not use it for advertising, we do not sell it, we do not use it to train generalised AI or machine-learning models, and people at Tenuit read it only with your permission, for security, or where the law requires. The privacy policy sets out what Tenuit reads from Google and why.
AI-prepared drafts
Tenuit uses AI models to prepare briefs, summaries and drafts. They can be wrong or incomplete. Every draft is a draft: your firm reviews it, and nothing is sent to a client unless someone at your firm approves it, or your firm has configured the service to send it. Your firm remains responsible for what it sends and for its own compliance review, recordkeeping and supervision. Tenuit is not an investment adviser and does not give investment, legal or tax advice.
Fees
Fees, billing periods and payment terms are set out in your firm’s order form. Unless the order form says otherwise, fees are payable in advance, are non-refundable, and exclude taxes, which your firm pays except for taxes on our income. We may change fees for a renewal term by telling you at least 30 days before it starts.
Term and termination
These terms last as long as your firm has an active subscription or pilot. Either of us may end them if the other materially breaks them and does not fix the breach within 30 days of notice. Your firm may stop using the service at any time; fees already paid are not refunded unless the order form says so.
When the relationship ends, your firm may export its Customer Data for 30 days. After that we delete it from the live service, and from backups as they expire on their normal cycle, unless the law requires us to keep it. Records your firm needs to keep under its own recordkeeping obligations are your firm’s to export before the end date.
Warranties
We will provide the service with reasonable skill and care, and keep in place reasonable security measures for Customer Data. Apart from that, the service is provided “as is”. To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise that the service or its AI-prepared output will be uninterrupted or error-free.
Limitation of liability
To the extent the law allows, neither of us is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or goodwill. Each party’s total liability under these terms is limited to the fees your firm paid in the 12 months before the claim arose. These limits do not apply to a party’s indemnity obligations, to its breach of confidentiality, or to amounts your firm owes us.
Indemnities
We will defend your firm against a third-party claim that the service, as we provide it, infringes that party’s intellectual property, and pay the resulting damages or settlement. Your firm will defend us against a third-party claim arising from Customer Data, from what your firm sends to its clients, or from its use of the service in breach of these terms, and pay the resulting damages or settlement. The party seeking defence must tell the other promptly, let it control the defence, and cooperate reasonably.
Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Any dispute arising out of these terms or the service will be heard only in the state or federal courts located in Delaware, and each of us consents to their jurisdiction. Either of us may still ask any court for urgent relief to protect its confidential information or intellectual property.
Changes to these terms
We may update these terms. If a change is material, we will tell your firm’s admin by email at least 30 days before it takes effect, and the date above changes with it. A change does not apply to a paid term already in progress unless your firm agrees.
General
Neither of us may assign these terms without the other’s consent, except to a successor in a merger or sale of the business. If part of these terms cannot be enforced, the rest still applies. Failing to enforce a term is not a waiver of it. Neither of us is liable for delays caused by events outside its reasonable control.
